How Do I Register a Company in Switzerland?


Registering a company in Switzerland involves several key steps. First, you need to choose a legal structure, typically a GmbH (SARL) or AG (SA), depending on your business needs and capital requirements. Next, you must define the company name, ensuring it is unique and complies with Swiss naming rules.

You will need to prepare the articles of association and have them notarized by a Swiss notary. After notarization, you must deposit the required share capital (CHF 20,000 for GmbH or CHF 50,000–100,000 for AG) into a Swiss business bank account. Once this is done, you can submit the application to the Commercial Register (Handelsregister) in the canton where your company will be based.

Swiss-resident director is mandatory for company formation. Foreign entrepreneurs can either appoint a Swiss resident partner or use a fiduciary service.

Once registered, you’ll receive an official company number, and you may need to register for VAT if your annual turnover exceeds CHF 100,000. Additional registrations with social insurance and tax authorities may also be required.
